prison<\/strong> for insider trading\u2014marking the <strong data-start=\"265\" data-end=\"338\">first prosecution based solely on misuse of Rule 10b5-1 trading plans<\/strong>.<\/span><\/p>\n<p title=\"\" data-start=\"341\" data-end=\"561\"><span style=\"font-size: 20px;\">Peizer was also ordered to pay <strong data-start=\"372\" data-end=\"397\">$5.2 million in fines<\/strong> and <strong data-start=\"402\" data-end=\"434\">$12.7 million in restitution<\/strong> after a federal jury found him guilty in June 2024 of <strong data-start=\"489\" data-end=\"522\">one count of securities fraud<\/strong> and <strong data-start=\"527\" data-end=\"560\">two counts of insider trading<\/strong>.<\/span><\/p>\n<p data-start=\"563\" data-end=\"577\"><span style=\"font-size: 20px;\"><strong data-start=\"563\" data-end=\"577\">Key Facts:<\/strong><\/span><\/p>\n<ul data-start=\"578\" data-end=\"1091\">\n<li data-start=\"578\" data-end=\"746\">\n<p data-start=\"580\" data-end=\"746\" data-speechifyplaybackhighlighter-highlight=\"true\"><span style=\"font-size: 20px;\">Peizer used two trading plans to sell Ontrak stock while possessing non-public information that the company\u2019s largest client planned to terminate its contract.<\/span><\/p>\n<\/li>\n<li data-start=\"747\" data-end=\"836\">\n<p data-start=\"749\" data-end=\"836\"><span style=\"font-size: 20px;\">He avoided <strong data-start=\"760\" data-end=\"787\">$12.5 million in losses<\/strong> by selling shares before the news became public.<\/span><\/p>\n<\/li>\n<li data-start=\"837\" data-end=\"946\">\n<p title=\"\" data-start=\"839\" data-end=\"946\"><span style=\"font-size: 20px;\">Peizer ignored multiple warnings and <strong data-start=\"876\" data-end=\"908\">refused a cooling-off period<\/strong>, starting sales the next trading day.<\/span><\/p>\n<\/li>\n<li data-start=\"947\" data-end=\"1091\">\n<p data-start=\"949\" data-end=\"1091\"><span style=\"font-size: 20px;\">On August 19, 2021, six days after initiating one of the plans, Ontrak announced the contract termination, and its stock <strong data-start=\"1070\" data-end=\"1090\">plunged over 44%<\/strong>.<\/span><\/p>\n<\/li>\n<\/ul>\n<p title=\"\" data-start=\"1302\" data-end=\"1338\" data-is-last-node=\"\" data-is-only-node=\"\" data-speechifyclicktoplay-highlight=\"true\" data-speechifyclicktoplay-no-background=\"true\"><span style=\"font-size: 20px;\"><strong data-start=\"1302\" data-end=\"1338\" data-is-last-node=\"\">FBI conducted the
